Business terms
Draft for legal review
These terms are an agreement between Wumn Fashion Private Limited (“Wumn”), which runs the Wumn marketplace, and the business that sells its pieces to customers on Wumn (“you”, the seller). You accept them when you apply, and again when they change.
1. Who sells to whom?
You sell each piece to the customer. Wumn is the marketplace you sell on.
You answer for the piece and its listing. The payment aggregator takes the payment, Wumn books the courier, and you are settled.
- You are the seller. When a customer orders your piece, the sale is between you and her.
- Wumn is the marketplace. Wumn lists your pieces, books the courier, handles returns and complaints, and your money is settled to you as section 9 says.
- The invoice. For now the customer’s tax invoice is printed by Wumn and names you. From To be confirmed it is issued in your name, with your GSTIN, generated by Wumn on your behalf. Wumn invoices you for its commission (section 9).
- Made to order. Your accepted offer is the order between you and the customer. You make the piece as offered.
- Her complaints. A customer’s complaint about your order comes to Wumn, which runs it to the end and may ask you what it needs to decide. Answer Wumn’s questions, and any message she sends you about the order, promptly, so that Wumn can acknowledge her within 48 hours and resolve it within one month.
- Nothing in these terms makes you Wumn’s agent, partner or employee, or Wumn yours.
2. Who may sell, and how is a business verified?
A business in India, run by people aged 18 or over. Whether a seller without GST registration may sell: To be confirmed.
Your GSTIN, pickup address and bank account are checked before approval.
- You hold a valid GSTIN, and the legal name, PAN and address the GST portal returns for it are yours.
- A courier serves your pickup address.
- Your bank account is in your business’s name and passes Wumn’s ₹1 test deposit and name check.
- Everything you tell us is true, and you tell us at once when it changes. Your legal name, address, GSTIN, PAN and mobile number are the details the law asks a seller to give the marketplace.
- Wumn may approve or refuse an application, and may ask for documents before or after approval.
- You make the pieces you sell, or have them made for your label, and send each one yourself from your pickup address. You do not list pieces another business sends straight to the customer (drop-shipping).
- Imported pieces may be sold only by a seller authorised to sell them: the importer, the brand or its distributor. Show Wumn your proof of authorisation when asked.
3. What are the rules for my store and handle?
Your store’s name and handle must be your own, and must not copy another brand or person.
Your store name and handle identify you to customers on every piece. They must not be another brand’s, designer’s or person’s name or mark, or be misleading or offensive. Wumn may ask you to change one that is, and may reserve a handle to stop it being used to impersonate someone.
4. What must every listing say?
The declarations the Legal Metrology Rules require, and nothing untrue.
Every size has its price, its MRP and its real stock. The price is never above the MRP.
- Your name and address as manufacturer, and the packer’s or importer’s if different, for the declarations the Legal Metrology Rules require. The piece page shows your store’s name, the packer’s name and, for an imported piece, the importer; section 5 says what else customers see about you.
- The common or generic name, the net quantity and the size, with its measurements.
- The MRP inclusive of all taxes, which Wumn refuses to exceed, and the price for each size.
- Consumer-care details for the piece, which its page shows under Product information.
- The country of origin, on every listing, which its page shows and search can filter by. For an imported piece, also the importer’s name and address, which its page shows.
- The fibre composition, for example “100% cotton” or “70% viscose, 30% silk”, and the true colour, craft and care. “Handloom”, “pure silk”, “organic” and GI names only with proof.
- Real stock, updated as it changes. A struck-out price other than the MRP must be the lowest price the piece sold at in the 30 days before.
Your photographs and films are of the piece you are selling. You warrant that every listing is true and complete and meets the law, and you are responsible to the customer and to Wumn for any loss caused by a listing that does not.
5. How are pieces ranked, and what do customers see about me?
By the same factors for every seller, set out in the Marketplace disclosures.
Wumn favours no seller. Customers see who you are before they pay.
- Ranking. How the feed and search order pieces, and which factors weigh most, is set out in the Marketplace disclosures. The same factors apply to every seller.
- Paid placement. Wumn offers none today. If it does, every paid placement is labelled “Sponsored” where it appears.
- No differentiated treatment. Wumn sells no pieces of its own and gives no seller better ranking, placement or access to data than another. Your commission rate is set by Wumn and may differ from another seller’s; it plays no part in where your pieces appear.
- What customers see about you. Before they pay, on the piece, in the bag, at checkout and on the order, under “Sold by”: your registered business name, whether you are GST registered and your GSTIN, your pickup or business address, your customer-care phone and e-mail, and your rating once you have enough reviews (how the rating is made), as the E-Commerce Rules require.
- Your care e-mail. Give Wumn an e-mail customers can write to about your pieces, and answer it within 48 hours. Until you do, your pieces show Wumn’s care e-mail beside your name.
6. How does Wumn review my pieces?
A person reviews every piece before it can be sold.
Wumn may refuse, delist or ask you to change a piece.
Before a piece goes on sale, Wumn checks its photographs, description, sizes, measurements, price and MRP. Wumn may refuse a piece with a reason, ask you to change it, or take it off sale later if it breaks these terms, the Guidelines or the law, or if customers report it and the report is upheld. Wumn’s review is a check of the listing; it does not make Wumn responsible for what you warranted, and it is no warranty of the piece by Wumn.
7. What may I never sell or post?
Fakes, copies, misused GI names, the national flag below the waist, wildlife products, and anything illegal.
- Counterfeits, replicas, and pieces that copy another’s registered design, copyright or trade mark.
- A GI name on a piece that is not from that place and craft.
- The national flag on anything worn below the waist, on undergarments or on dress material.
- Shahtoosh, ivory, or the skin, fur or feathers of a protected animal.
- Gold or silver jewellery or zari sold as gold or silver without the BIS hallmark the law requires.
- An armed forces or police uniform or insignia, the State Emblem, or a deity on footwear or undergarments.
- Obscene or indecent images, and anything the Community Guidelines do not allow.
- Anything whose sale is unlawful in India.
8. Who owns my photographs and designs, and what may Wumn do with them?
You do. You let Wumn show, format and promote them, on Wumn and in Wumn’s marketing outside it.
No music or song you do not own: Wumn holds no licence from music labels.
You answer for any claim that they infringe someone else’s rights.
You keep every right in your designs, photographs, films and posts. You give Wumn a non-exclusive, royalty-free licence, for as long as the piece or post is on Wumn and for orders already placed, to show, crop, resize, transcode and caption them on Wumn, to let customers share and repost them on Wumn and in highlights, and to use them, crediting you where practical, in Wumn’s own marketing outside Wumn: on its social accounts, in advertisements and in the press. Wumn never edits them to change their meaning, and never uses them for anything the law or these terms forbid. You may ask us to leave a piece out of future marketing; what is already printed or posted stays. Backups keep a copy for up to the period in the Privacy Policy after you delete something. You warrant that you own or are licensed to use everything you upload, and you will indemnify Wumn against claims, fines and costs arising from an infringement, an untrue listing, a breach of the Legal Metrology Rules, or a defect in a piece you sold.
Music. Use only your own voice, sound you recorded, music you composed or silence. A song, a film track or a remix you did not make is not allowed in a reel, a story or a post, because Wumn holds no licence from music labels; Wumn mutes or removes one that has it.
9. How is my money settled, and what comes off it?
The price the customer paid, less Wumn’s commission, the GST on it, GST TCS and income-tax TDS.
Settled every Friday, for orders past their 7 days return window with no return open.
- Payment. The customer pays through an RBI-authorised payment aggregator: today Razorpay Software Private Limited, which settles to Wumn, and Wumn settles your share to your verified bank account. Wumn is moving to Cashfree Payments India Private Limited’s split settlement, which will pay your share straight to your account; we tell you before it changes.
- The payment company’s fee. Paid by Wumn. It is never deducted from you or added for the customer.
- Price. You set each size’s price and MRP. The order keeps the price at which the customer bought.
- Commission. Wumn sets each seller’s commission and tells you your rate before it applies, in your Hub under Commission. The standard rate: To be confirmed. It is never more than To be confirmed of the price. A lower rate may start at once; a higher one at least 7 days after we tell you. Each order keeps the rate in force when it was placed. If you do not accept a higher rate, you may end this agreement before it starts; open orders keep the old rate.
- Taxes withheld. GST TCS at 0.5%, under section 52 of the CGST Act, credited to your GSTIN; and income-tax TDS at 0.1% under section 393(1) of the Income-tax Act 2025 (Table, serial 8(v)), credited to your PAN, or at the higher rate the law sets if we hold no PAN for you. The law sets both on the value of the sale before GST, less returns; today Wumn’s statement works them out on the price the customer paid, and the change is being confirmed with Wumn’s chartered accountant. Both come back to you as credit when you file.
- Other deductions. The GST on Wumn’s commission, refunds and return postage for faults that are yours, the freight section 10 says is yours, compensation you owe a customer for cancelling a piece made to order (section 12), and amounts a decision under these terms says you owe. Every deduction is a line on your statement.
- Chargebacks and fraud. If a customer’s bank reverses a payment, Wumn answers it with your dispatch and delivery proof. A chargeback lost because the piece was not sent, not as listed or faulty is deducted from your settlement; one caused by fraud on the payment that you could not have known of is Wumn’s to bear.
- Set-off. If what you owe is more than what is due to you, the difference is taken from your next settlements. If you leave owing money, you pay it within 30 days of our statement.
- When. Every Friday, for each order delivered and past its 7 days return window with no return open. The hold is the return window itself, and nothing else is held back. For a piece made on request, 7 days after the customer accepts it.
- The limit. If you are a micro or small enterprise, Wumn settles what is due to you within 45 days of the day the courier collects it from you, as the MSMED Act 2006 requires.
- Invoices. The customer’s tax invoice is as section 1 says. Wumn issues you a tax invoice every month for its commission and the GST on it, on your Payments screen.
How the commission, TCS and TDS are documented is being confirmed with Wumn’s chartered accountant, and settlement through the payment aggregator is being set up; this section may change before launch.
10. How do I dispatch, who pays the courier, and how is my on-time record kept?
Pack each order by the date it shows; Wumn books and pays the courier.
A courier’s delay never counts against you.
When an order arrives, pack it well, with the documents Wumn prints, by the dispatch date the piece promised. Wumn books the courier to collect from your pickup address. Your on-time record counts only whether you were ready on time; a delay by the courier is never counted against you. If you cannot fulfil an order, cancel it at once so the customer is refunded in full.
Freight. Wumn pays the courier for every trip, to the customer and back. A trip your mistake caused is yours: a parcel you cancel after the courier is booked, or one sent back because the pickup or return address you gave was wrong. Its freight is a line on your statement. A parcel the customer refuses or the courier cannot deliver comes back at Wumn’s cost.
11. What happens when a customer returns a piece?
It comes back to your pickup address. Wumn books the courier.
A fault is yours: the refund and the postage. For fit and late delivery, Wumn pays the postage.
- Damaged, wrong, badly made, not as shownYou bear the refund and the return postage. You see her photograph and may accept or dispute the return.
- Does not fit, another colour, arrived lateWumn pays the return postage. The piece comes back to you and its sale is reversed, so you are not paid for it. A replacement is a new piece you send.
- Changed her mindThe customer pays ₹80 from her refund.
- There is no central returns address: Wumn books the courier to bring the piece back to the pickup address of that order.
- A dispute is answered by Wumn within 3 days. Wumn’s decision sets what your settlement carries. If you disagree, section 17 applies.
- A return the courier collects and never delivers back is closed after 10 days, at Wumn’s cost.
- You choose Refund or replacement, or Replacement only, for your shop. Whatever you choose, a fault is always refundable to the customer.
12. What are the rules for pieces made to order?
Your offer binds you when the customer accepts it.
Make it as agreed, by the date. Three late pieces in 90 days pause new offers for 30 days.
- Offers. An offer states what you will make, its price, its date and any fabric you need. It stands for 48 hours. Once accepted and paid, you make it as offered.
- Tolerance. A piece is as agreed when its measurements are within 0.5 inch around the body and 0.25 inch along it of the offer’s.
- Late pieces. A piece not sent by its date is late. Three late pieces in 90 days pause your new offers for 30 days.
- She cancels. While it waits to start she gets everything back. While it is being made you may keep up to 30% of the price for the work done, and once it is finished up to 30%: say how much, with a reason, when you agree, and Wumn checks it. Once it is sent it cannot be cancelled.
- You cancel. You may cancel at any stage; the customer is refunded in full and owes nothing. If making had started, she is also paid 30% of the price (being made) or 30% (finished) as compensation, deducted from your settlement.
- More time. Ask for it from the order with a reason. If she does not answer in time, the answer is no and the date stays as agreed.
- Her fabric. Handle it with care and use it only for her piece. Fabric lost or damaged in transit is covered by Wumn up to ₹25,000, to the worth she declared; fabric lost or damaged in your care is yours to make good.
- Faults. If she reports a fault, answer within 2 days; Wumn then decides. A refund for a fault that is yours is deducted from your settlement.
13. What may I do with customers’ data?
Use it only to make and deliver her order.
No marketing, no contact outside Wumn, no sharing, and delete it when the order is done.
- You receive a customer’s first name and photograph, when she joined, the delivery name and address for her orders with you, and her measurements only when she shares them with you. You never receive her phone number; the courier gets it from Wumn.
- Use it only to make, pack and send her order and to answer her on Wumn.
- Never use it for marketing, never contact her outside Wumn, and never give it to anyone else.
- Keep it secure. Delete any copy you made once the order and its return window are over, unless the law requires you to keep it.
- Tell Wumn at once, and within 6 hours, if you think a customer’s data has been lost, stolen or misused, at support@wumn.in.
- Do not copy her data out of Wumn except to pack and send her order. Never upload it to another app or service.
- Help Wumn answer her if she asks to see, correct or delete her data.
- When this agreement ends, delete every copy you hold.
- Wumn may ask you to show how you keep her data safe.
- Your role. For the customer data Wumn gives you, Wumn is the data fiduciary and you process it for Wumn, on these instructions, under the Digital Personal Data Protection Act 2023. (Wumn’s lawyer confirms this before launch.)
14. What are the rules for my posts, reels and stories?
The Community Guidelines apply to everything you post.
Disclose every paid collaboration. A paid placement on Wumn is labelled “Sponsored”.
Your posts must follow the Community Guidelines. A post must show pieces honestly. If you pay or are paid, in money or in kind, to post about a piece or with someone else, say so at the start with “Paid partnership”, “Sponsored” or “Ad”, and on the film itself in a reel or story. Any placement you pay Wumn for is labelled “Sponsored” by Wumn. Label any image made or altered with artificial intelligence. No music you do not own (section 8). You message a customer only to answer her, and stop when she asks.
15. When can Wumn suspend or end this agreement?
For counterfeits, infringement, fraud, repeated faults or breaking these terms or the law.
Open orders are finished or refunded; what you are owed is paid.
- Wumn may suspend your shop or end this agreement for a counterfeit or infringing piece, fraud, misuse of customer data, repeated quality failures or breaches of the Guidelines, or a breach of the law. For a serious breach Wumn may act at once; otherwise Wumn gives you notice and a chance to put it right.
- You may end this agreement at any time by writing to us, once your open orders and returns are finished.
- On suspension or ending, your pieces leave sale. Open orders are either fulfilled by you or cancelled and refunded. Wumn settles what you are owed after the return windows close, less what you owe under these terms.
- You can ask the Grievance Officer to review a suspension.
16. How will these terms change?
With notice in your Hub before a change takes effect, and your agreement recorded with the version.
These terms take effect on the date at the top of this page. Wumn gives you at least 15 days’ notice of a change to them in your Hub, unless the law requires it sooner; your rate changes on its own notice, in section 9. A change never alters an order already placed. A change that affects what you agreed to asks for your agreement again before you continue selling; we record the version and when you agreed. If you do not agree, you may end this agreement.
17. Which law applies, and how are disputes settled?
Indian law. First by talking; then by arbitration.
The seat and venue of arbitration is Raigad, Maharashtra.
These terms are governed by the laws of India. If a dispute arises, we first try to settle it by talking, for 30 days from when one of us writes to the other. If it is not settled, it is decided by a sole arbitrator appointed by both of us under the Arbitration and Conciliation Act 1996. If we cannot agree on an arbitrator within 30 days, either of us may ask the court to appoint one. Nothing here stops a micro or small enterprise from referring a payment dispute to the Micro and Small Enterprises Facilitation Council under the MSMED Act 2006. The seat and venue of arbitration is Raigad, Maharashtra, and the language is English. The proceedings are confidential. Subject to this, the courts at Raigad, Maharashtra have jurisdiction.
18. What else is part of these terms?
These terms and your signed agreement are one agreement.
If one part fails, the rest still applies.
- Precedence. These terms and the agreement you sign at approval are one agreement. If they differ, the signed agreement applies to your rate, and these terms to everything else.
- Confidentiality. Keep Wumn’s terms, rates and customer information confidential. Wumn keeps your bank and tax details confidential.
- Events outside control. Neither of us is liable for a delay caused by events outside our reasonable control. Customer refunds still go out.
- Transfer. You may not transfer this agreement without Wumn’s written consent.
- If a part fails. If part of these terms is invalid, the rest still applies.
- Notices. Wumn sends notices in your Hub, or to the mobile number you sign in with. You send notices to support@wumn.in, or by post to Wumn’s registered office.
- What survives. Sections 8, 9, 13 and 17 survive the end of this agreement.
Wumn’s liability, to be confirmed by Wumn’s lawyer. Wumn is not liable to you for lost profit or indirect loss. Wumn’s total liability to you in a year is limited to what Wumn settled to you in the 12 months before the claim. This limit does not apply to amounts due to you in settlement for your sales, to fraud, or where the law does not allow a limit.
